COMPANY IDENTIFICATION
These conditions of sale are concluded between on the one hand SKY FUSION INTERNATIONAL LTD, located at 806 Capitol Centre, 5-19 Jardine's Bazaar, Causeway Bay, Hong-Kong, registered as such with the national register of Companies under the number "2231050 "hereinafter referred to as "French Corner Shop" and, on the other hand, by any natural person wishing to make a purchase via the French Corner Shop website, hereinafter referred to as "the Customer".
PREAMBLE
These Resellers can be physical shops, internet shops, door-to-door or meeting sellers, mail-order companies, etc.
These General Terms and Conditions of Sale exclusively govern the sale of items offered on the French Corner Shop website www.French-Corner-Shop.com. These conditions apply to the exclusion of all other conditions.
ARTICLE 1 - PRICE
1.1 - The prices of the products are indicated in Euro excluding taxes, excluding participation in processing and shipping costs.
1.2 - All orders, whatever their origin and destination, are payable in Euros.
1.3 - French Corner Shop reserves the right to modify its prices at any time, but the products will be invoiced on the basis of the prices in force at the time of registration of each order.
1.4 - Retention of title clause: The products remain the exclusive property of French Corner Shop until full payment has been received.
ARTICLE 2 - ORDER AND VALIDATION
On the French Corner Shop website, all products are accompanied by a photo. A zoom to get a more detailed view of the product is also available.
The contractual information is presented in French.
French Corner Shop reserves the right to cancel any order from a Reseller with whom there is a dispute relating to the payment of an order.
Any order on the French Corner Shop website entails the Reseller's acceptance of these General Terms and Conditions of Sale, without exclusion whatsoever. These provisions, readable from the home page by clicking on a hypertext link, can be consulted at any time.
On the French Corner Shop website, the order validation process by successive data entries, allows the Reseller to make any changes, before the final summary and the final registration of his order.
When the Reseller clicks on the "Confirm your order" button at the end of the order process, he declares that he accepts the order and all of these General Terms and Conditions of Sale, fully and without reservation.
The data recorded by French Corner Shop constitutes proof of all transactions between French Corner Shop and the Reseller.
As soon as the order is validated online by the Reseller, a number is assigned to it. From this moment the registration is definitive. The order is therefore considered firm and cannot be modified or cancelled.
Any accepted order can only be resolved:
- By French Corner Shop:
1/ When instead of an order confirmation, French Corner Shop sends the Reseller by fax or by simple or electronic mail, an acknowledgment of receipt relating to the unavailability or disappearance of a product or service ordered.
2/ In the event of an invoice remaining unpaid, despite formal notice, or in the event of recovery of equipment under retention of title.
- By the Reseller:
1/ When the acknowledgment of receipt from French Corner Shop proposes a modification of the initial order by replacing it with other products and/or services. In this case, the Reseller has a period of 48 hours to expressly accept the substitution. Otherwise, the new offer will be deemed null and void and the order will be cancelled.
2/ In the event of formal notice to deliver or to perform without success for more than 30 days.
ARTICLE 3 - AVAILABILITY
The restocking time for unavailable products varies according to French Corner Shop suppliers. French Corner Shop stock status is managed and displayed in real time, allowing the Reseller to easily check which items are available.
Errors or exceptional modifications are beyond the control of French Corner Shop and cannot engage its responsibility. In case of unavailability of a product which would be displayed as available in stock, the Reseller would be informed by email or by post as soon as possible.
ARTICLE 4 - DELIVERY
4.1 - General
The products are delivered to the delivery address indicated by the Reseller during the ordering process. The times indicated are average times which correspond to processing and delivery times. French Corner Shop cannot be held responsible for the consequences due to a delay in delivery.
4.2 - Delivery problems
The Reseller must check the conformity of the goods delivered at the time of delivery, and before signing the transport voucher, indicate, if necessary, on this voucher, handwritten reservations accompanied by his signature, clearly specifying the anomaly. He must also confirm these reservations to the carrier, at the latest within two working days of receipt of the item(s), and send a copy of this letter to French Corner Shop:

If the products need to be returned, they must be returned within 7 working days of delivery. Any complaint made outside this period cannot be accepted. The return of products will only be accepted if each item is in its original condition and packaging.
4.3 - Compliance or quality
French Corner Shop undertakes to reimburse or exchange products that do not correspond to the Reseller's order, in the sole case where they are defective or non-compliant. To do this, the Reseller must formulate by any means such as email, telephone, fax, mail, on the day of delivery or at the latest within two working days following delivery, any complaint concerning the items not corresponding to his order. .
These complaints should be addressed to French Corner Shop customer service, by email to sky-fusion@asia.com, by post to French Corner Shop: SKY FUSION INTERNATIONAL LTD 806 Capitol Centre, 5-19 Jardine's Bazaar, Causeway Bay, Hong- Kong.
The complaint must indicate the contact details of the Reseller, its transport voucher number, the product references appearing on the French Corner Shop delivery slip, and the reasons for the complaint. Any complaint made outside this period cannot be accepted.
French Corner Shop will exchange, or credit, or refund the product(s) concerned. The return of products in the event of an order error attributable to the Reseller, will not be accepted. Likewise, products returned incomplete, out of their original condition or packaging, or not accompanied by a return form pre-established by French Corner Shop will not be accepted either.
ARTICLE 5 - PAYMENT
French Corner Shop accepts one or more means of payment: These are offered online according to each order feature and each Reseller feature.
In respect of administrative costs, any delay in payment, including any request for postponement of the due date, will in fact result in an invoicing of €55.00 excl. tax (Fifty-five Euros excluding tax) invoiced by French Corner Shop for each deadline concerned.
French Corner Shop reserves the right to impose or restrict certain payment methods, depending on the history of the Reseller who is notably the subject of a payment incident, or for any new opening of an account or specific characteristic linked to the Reseller.
ARTICLE 6 - SERVICE AND RETURN OF GOODS
6.1 - The Reseller has a legal period between professionals, of 7 working days from receipt of the goods, to report an item with a manufacturing defect.
French Corner Shop does not accept returns for reasons other than manufacturing defects.
To use this right of return, the Reseller must first make a request via his personal space, by selecting the items concerned and according to the information requested, then send photos which clearly detail the problem, to the email address: sky-fusion@asia.com. Depending on the case studied individually by French Corner Shop customer service, a refund will be made, or if necessary a return form will be sent by email to the Reseller. This voucher must be printed in duplicate, one copy to be placed inside the return package and the other copy to be affixed visibly to the outside. In order not to slow down the processing of the package upon its arrival at French Corner Shop, it is necessary to specify the defect found on the return slip placed inside the package.
Any return package that meets the above requirements should then be sent to:

This right of return is only accepted for complete products, in their original condition and packaging, and with the return slip sent at the Reseller's request.
Items returned incomplete, damaged, damaged, soiled, or outside their original packaging, will be refused. Packages that do not include a copy of the return form affixed to the outside will be refused by the carrier.
6.2 – French Corner Shop undertakes to accede to the Reseller's request, within a period less than or equal to 15 days after receipt of the defective products, to make a credit note on the corresponding customer account.
6.3 No returns sent COD will be accepted, whatever the reason. Similarly, return costs are the responsibility of the Reseller.

ARTICLE 8 - INTELLECTUAL PROPERTY
All texts, logos, comments and images reproduced on the www.French Corner Shop.com site are protected and reserved under copyright and intellectual property, for the whole world. In accordance with the legal provisions of the international code on intellectual property, the use of texts, logos, comments and images is only authorized for private use subject to different or even more restrictive provisions of the said code. Any other use constitutes counterfeiting and is sanctioned under intellectual property, except with the prior authorization of French Corner Shop.
Any total or partial reproduction of the French Corner Shop catalog is strictly prohibited.
ARTICLE 9 - RESPONSIBILITY
The photographs, texts, graphics, information and characteristics reproduced and illustrating the products presented, are not contractual. Consequently, French Corner Shop cannot be held liable in the event of an error or omission in any of these photographs, texts, graphics, information or characteristics of the products or in the event of modification of the characteristics of the products by the manufacturer or supplier.

French Corner Shop cannot be held responsible in the event of out of stock, unavailability of the product, force majeure, disruption or total or partial strike, in particular of the postal services and means of transport and/or communications, in the event of flood or fire.
French Corner Shop will not incur any liability for any consequential damages as a result of the present, operating loss, loss of profit, loss of opportunity, damages or costs, which may arise from the purchase of the products. The total or partial impossibility of using the products, in particular due to incompatibility of equipment, cannot give rise to any compensation or reimbursement or questioning of the responsibility of French Corner Shop.
ARTICLE 10 - WARRANTY - MODIFICATION
All products marketed by French Corner Shop are guaranteed against any manufacturing defect. Defective products must imperatively be returned at the expense of the Reseller, for examination which will validate the validity of the complaint. To be able to benefit from this guarantee, it is advisable to keep the purchase invoice of the product and to return the return form previously issued by French Corner Shop.
ARTICLE 11 - MARKETING POLICY
The resale of articles of the brands marketed by French Corner Shop is subject to marketing rules on European territory. Any company or business or person reselling one or more of these brands agrees to strictly comply with these rules under penalty of breach of commitment without notice from French Corner Shop.
Potential offenders are also liable to prosecution before the competent courts.
The marketing of the brands marketed by French Corner Shop is notably prohibited by the following distribution channels:
- On any market.
French Corner Shop reserves the right at any time, after analysis of the means of marketing, to allow or refuse the Reseller the resale of the articles of the brands that French Corner Shop markets.
In any event, French Corner Shop will apply the measures it deems best in order to preserve the ethics, reputation and development of the brands and/or products it markets, including in the event of marketing at excessively low.
ARTICLE 12 - EXCLUSIVITIES OF DISTRIBUTION, IMPORTATION AND BRAND LICENSES
French Corner Shop holds exclusive distribution and import contracts for the brands it sells, in each country where it is present. As such, French Corner Shop clearly indicates these exclusivities on all its means of communication, in order to inform the Resellers. Each reseller of the brands marketed by French Corner Shop is therefore fully aware of these exclusivities and assumes all the consequences.
As a result, each Reseller residing in each country where French Corner Shop is present, acknowledges that they can only source brands marketed by French Corner Shop from French Corner Shop, to the exclusion of any other company or individual, regardless of their country of residence or activity.
Any offenders may be prosecuted before the competent courts.
It is added that the application of these exclusivities is also valid for any distributors who would like to supply Resellers residing in the countries where French Corner Shop is present.
ARTICLE 13 - RIGHT TO USE IMAGES, LOGOS, VISUALS AND OTHER COMMUNICATION MEDIA
French Corner Shop holds an exclusive license to use the brands it markets, for all the countries where it is present. Consequently, French Corner Shop reserves the right to control, authorize or prohibit the use of one or more brands (names, images, logos) in the territories where it is present, and this without restriction. , at any time, and to anyone.
French Corner Shop has a legal unit responsible for ensuring the sound and strict application of its contracts and these General Terms and Conditions of Sale.
When French Corner Shop validates the creation of a Reseller account and purchases related to this account are made on the www.French Corner Shop.com site, French Corner Shop which holds the exclusive intellectual property rights of the brands it represents , grants the account holder a right to use images, logos, visuals and other communication media under the following conditions:
- These communication media must be downloaded exclusively in ZIP format from the French Corner Shop website www.French Corner Shop.com in the "Marketing Tools" section in a private area. Under no circumstances should the presentation images displayed on any site, including the site of one of the brands it represents, be used.
- These communication media must all include the entire logo of each brand, as offered for download.
- Under no circumstances is it authorized to remove the logo of a brand, or to modify it or to affix any other mention than on the images, under penalty of prosecution.
- This right of use is only valid to allow the reseller the effective marketing of the products of each brand, on the resale media of the said products: Internet shops, shop display, mail order catalogue, etc.
- This right of use ceases for each of the articles concerned, from the last sale of the said article.
ARTICLE 14 - PERSONAL INFORMATION
French Corner Shop undertakes not to disclose to third parties the information that the Resellers communicate to it. These are confidential. They will only be used by French Corner Shop's internal services for processing orders, and for the newsletters "newsletters" to which each Reseller subscribes. French Corner Shop adheres to the CNIL, which guarantees confidential use of data.
The French Corner Shop website www.French Corner Shop.com is designed to be attentive to the needs of Resellers. This is one of the reasons why French Corner Shop uses cookies. The purpose of the cookie is to signal the passage of a Reseller on the French Corner Shop site. Cookies are therefore only used by French Corner Shop for the purpose of improving the personalized service intended for each Reseller.
This article cannot prevent the sale or transfer of activities to a third party.
Consequently, in accordance with the data-processing law and freedoms N° 78-17 of January 6, 1978, the Reseller has a right of access, rectification and opposition to the personal data which concern him.

ARTICLE 15 - APPLICABLE LAW - DISPUTES
These General Conditions of Sale are subject to French law. The language of these General Conditions of Sale is the French language. By his electronic signature, the Reseller accepts all the clauses and articles of these General Conditions of Sale without any exclusion or reservation. If one or more clauses or articles were found to be null and void or inapplicable, they would be deemed unwritten and all other provisions would retain their full value. In the event of a dispute, the Commercial Court of Toulon shall have sole jurisdiction, to the exclusion of all other jurisdictions, to settle disputes and disputes that may arise from these General Terms and Conditions of Sale, and/or their continuation, and this even in the event of appeal in warranty or multiple defendants.
